Agreement Formation

• These terms constitute a legally binding agreement between you and Live Well 360
• Your use of our services indicates your acceptance of these terms
• If you are using our services on behalf of an organization, you represent that you have authority to bind that organization

Additional Agreements

Certain features or services may be subject to additional terms and conditions. When you use those features, you also agree to those additional terms, which become part of your agreement with us.

Age Requirements

• You must be at least 18 years old to create an account and use our services independently
• Users between 13 and 17 may use our services only through an eligible organization program with parental or guardian consent
• Our services are not intended for children under 13 years of age

Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account

Account Responsibility

You are responsible for all activities that occur under your account. We recommend using a strong, unique password and enabling any available security features such as multi-factor authentication.

License Grant

• Access to our platform and tools for personal health and wellness management
• Use of features and functionality as described in our service documentation
• Storage of your health-related information within the platform

Authorized Use

• Managing your personal health information and wellness activities
• Accessing benefits information provided through your organization
• Participating in wellness programs and educational resources
• Communicating with healthcare providers through integrated features (where available)

Service Modifications

We may modify, update, or discontinue features of our services at any time. We will provide reasonable notice of significant changes that may affect your use of the platform.

You May Not

• Use our services for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Transmit viruses, malware, or any code designed to harm or disrupt our services
• Interfere with or disrupt the integrity or performance of our platform

Content Restrictions

• Post false, misleading, or fraudulent information
• Share content that is defamatory, obscene, or violates others' rights
• Impersonate any person or entity, or falsely represent your affiliation
• Collect or harvest personal information about other users without consent

Technical Restrictions

• Reverse engineer, decompile, or disassemble our software
• Use automated systems or bots to access our services without permission
• Circumvent any access controls or security measures we implement
• Resell, sublicense, or commercially exploit our services without authorization

Your Ownership

• You retain all ownership rights to content you create, upload, or share
• Your health information remains your personal property
• You can export or delete your content at any time

License to Live Well 360

By using our services, you grant Live Well 360 a limited license to:

• Store, process, and display your content to provide our services
• Create backups to protect against data loss
• Use anonymized, aggregated data for service improvement (see Privacy Policy)

Your Responsibilities

• You are responsible for the accuracy of information you provide
• You must have the right to share any content you upload
• You agree not to upload content that violates these terms or others' rights

Content Removal

We reserve the right to remove content that violates these terms or is otherwise objectionable. We will notify you when possible if content is removed from your account.

Live Well 360 Ownership

• The Live Well 360 name, logo, and branding are our trademarks
• Our platform design, software, and code are proprietary
• Educational content, articles, and resources we create are copyrighted

Limited Use Rights

You may use our materials only as necessary to access our services. You may not:

• Copy, modify, or distribute our proprietary content without permission
• Use our trademarks without written authorization
• Create derivative works based on our platform or content

Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us the right to use that feedback without restriction or compensation. This helps us improve our platform for all users.

Copyright Concerns

If you believe content on our platform infringes your copyright, please contact us at legal@livewell360.com with details of the alleged infringement.

Third-Party Integrations

• We may offer integrations with health tracking devices and apps
• Your use of third-party services is governed by their terms and privacy policies
• We are not responsible for the practices of third-party providers

External Links

Our platform may contain links to external websites for informational purposes. We do not:

• Control the content or policies of linked websites
• Endorse or guarantee any third-party products or services
• Accept liability for your interactions with external sites

Healthcare Providers

If our platform facilitates communication with healthcare providers, those providers are independent professionals. Your relationship with them is separate from your relationship with Live Well 360.

Services Provided "As Is"

Live Well 360 is provided on an "as is" and "as available" basis. We do not warrant that:

• Our services will be uninterrupted, error-free, or completely secure
• Defects will be corrected within a specific timeframe
• Our services will meet all your specific requirements

No Medical Advice

Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Information Accuracy

While we strive to provide accurate information, we do not guarantee the completeness, reliability, or accuracy of any content on our platform. Health information can change rapidly, and you should verify important information with qualified professionals.

Exclusion of Certain Damages

To the maximum extent permitted by law, Live Well 360 shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or use of our services
• Any interruption or cessation of our services

Cap on Liability

Our total liability to you for any claims arising from your use of Live Well 360 shall not exceed the greater of: (a) the amount you paid us in the twelve months prior to the claim, or (b) one hundred dollars ($100).

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

Essential Basis

These limitations are an essential part of our agreement and reflect a reasonable allocation of risk between you and Live Well 360.

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Live Well 360, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms of Service
• Your violation of any applicable law or regulation
• Your violation of any third party's rights, including intellectual property rights
• Content you submit or share through our services

Our Rights

We reserve the right to assume exclusive defense and control of any matter subject to indemnification. In such cases, you agree to cooperate with us in asserting any available defenses.

Notice Requirement

We will promptly notify you of any claim that triggers your indemnification obligations, though failure to notify you will not relieve you of your indemnification obligations except to the extent you are materially prejudiced.

Termination by You

• You may close your account at any time through your account settings
• You may also contact us at legal@livewell360.com to request account closure
• Termination does not relieve you of any outstanding obligations

Termination by Live Well 360

We may suspend or terminate your access to our services:

• If you violate these Terms of Service
• If required by law or to protect the safety of our users
• If your account has been inactive for an extended period
• If we discontinue all or part of our services

Effect of Termination

• Your right to access and use our services will cease immediately
• We will delete your data in accordance with our Privacy Policy
• Provisions that should survive termination will remain in effect

Governing Law

These terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in San Francisco County, California.

Dispute Resolution

Before filing a formal legal claim, you agree to contact us first and attempt to resolve the dispute informally. Most disputes can be resolved through direct communication.

Changes to Terms

• We may modify these terms at any time
• We will notify you of material changes via email or platform notice
• Continued use after changes constitutes acceptance of updated terms

Severability

If any provision of these terms is found unenforceable, the remaining provisions will continue in effect. The unenforceable provision will be modified to the minimum extent necessary.

Entire Agreement

These terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Live Well 360 regarding our services.

No Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
